These Terms of Service ("Terms") constitute an agreement between TagitGPS LLC, doing business as TAGITGPS ("TAGITGPS," "Company," "we," "us," or "our"), and each person or entity that purchases, activates, accesses, or uses a TAGITGPS product, website, mobile application, subscription plan, or related service ("Customer," "you," or "your").

By purchasing, activating, accessing, or using a TAGITGPS product or service, you agree to these Terms.

1. PRODUCTS AND SERVICES

TAGITGPS provides GPS-enabled tracking devices, software, mobile applications, connectivity, location-based services, alerts, reporting, and related products and services (collectively, the "Services"). TAGITGPS products and Services may be used for lawful tracking and monitoring purposes, including compatible assets, equipment, property, vehicles, personal items, and other supported applications. Actual features and functionality depend upon the product, service plan, network availability, device compatibility, and geographic coverage.

1.1 License and Permitted Use

TAGITGPS grants Customer a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services in accordance with these Terms. Customer is responsible for ensuring that any use of a TAGITGPS device or Service complies with all applicable federal, state, local, and international laws.

1.2 Restrictions

Customer may not:

Modify, copy, alter, or create unauthorized derivative works from TAGITGPS software or firmware;
Reverse engineer, decompile, or disassemble TAGITGPS software, firmware, devices, or technology except where expressly permitted by law;
Circumvent security, access controls, or technical restrictions;
Use the Services for unlawful surveillance, stalking, harassment, theft, fraud, or any other illegal activity;
Track a person, vehicle, property, or asset when doing so would violate applicable law or another person's legal rights;
Interfere with the operation of TAGITGPS systems, networks, applications, or Services; or
Resell or commercially redistribute the Services without TAGITGPS's written authorization.

Customer is solely responsible for obtaining any consent or authorization legally required for the Customer's particular tracking activity.

2. SERVICE PLANS, BILLING AND RENEWAL

TAGITGPS products require an active subscription or service plan. The applicable plan, price, billing frequency, term, activation charges, usage allowances, and other fees will be disclosed at the time of purchase or activation.

By purchasing a recurring subscription, Customer authorizes TAGITGPS or its payment processor to charge the payment method on file according to the selected billing schedule.

2.1 Recurring Plans

Recurring plans automatically renew for the applicable billing period unless canceled in accordance with these Terms and the conditions disclosed when the plan was purchased.

The Customer is responsible for maintaining a valid payment method. If a payment fails, TAGITGPS may retry the payment and may suspend or terminate Services until outstanding amounts are paid.

2.2 Prepaid Plans

Prepaid plans are charged in advance for the applicable service period. Unless otherwise stated at purchase, prepaid service periods are non-refundable after the applicable return or cancellation period has expired.

2.3 Taxes and Additional Charges

Customers are responsible for applicable sales, use, telecommunications, regulatory, or similar taxes and charges associated with the purchase or use of TAGITGPS products and Services, except taxes imposed directly on TAGITGPS's income.

Any additional usage, roaming, international, connectivity, replacement, shipping, or other applicable charges will be disclosed where applicable.

2.4 Changes to Plans and Pricing

TAGITGPS may modify available plans, features, rates, or Services from time to time.

Changes will not retroactively alter amounts already paid for a prepaid service period. Where required by applicable law, TAGITGPS will provide advance notice of material changes to recurring subscription pricing.

3. ACTIVATION AND SERVICE

Service begins upon activation or as otherwise specified at the time of purchase.

Customers understand that TAGITGPS Services may depend upon third-party cellular networks, GPS satellites, internet connectivity, mapping providers, cloud infrastructure, device hardware, and other third-party technologies.

TAGITGPS does not control these third-party systems.

4. GPS, CELLULAR AND LOCATION LIMITATIONS

GPS and cellular tracking technologies have inherent technical limitations.

TAGITGPS does not guarantee that a device will provide an exact, continuous, uninterrupted, or real-time location at all times. Location accuracy and availability may be affected by factors including:

Cellular network coverage
GPS satellite visibility
Buildings and indoor environments
Underground or enclosed locations
Terrain and weather
Network congestion or outages
Device placement
Battery level
Device damage
Internet availability
User error
Third-party service interruptions; and
Other environmental or technical conditions.

POOR CELLULAR COVERAGE, LIMITED GPS RECEPTION, NETWORK INTERRUPTIONS, DEVICE POWER LOSS, OR OTHER TECHNICAL CONDITIONS MAY DELAY OR PREVENT LOCATION INFORMATION FROM BEING TRANSMITTED OR DISPLAYED.

Customers should not assume that a displayed location is guaranteed to be exact or current.

5. CUSTOMER RESPONSIBILITIES

Customer is responsible for:

Proper installation, activation, charging, and maintenance of the device;
Following product instructions;
Regularly testing the device and Services;
Maintaining an active service plan where required;
Maintaining accurate account and payment information;
Protecting account credentials from unauthorized access;
Installing the device only where legally permitted; and
Using all tracking and location functionality in compliance with applicable law.

Customer must promptly notify TAGITGPS if the Customer believes an account, device, or login credential has been compromised.

6. RETURNS AND REFUNDS

Unless otherwise stated at the time of purchase, eligible products may be returned within 15 days from activation.

To qualify for a product refund:

The product must be returned within the applicable return period;
The product must include its original accessories;
The product must not have been materially damaged, modified, or abused; and
Customers must comply with TAGITGPS return instructions.

Refunds will be processed after the returned product has been received and inspected.

Shipping fees are non-refundable once an order has shipped, including returned, refused, or undeliverable packages, unless otherwise required by law.

Return shipping costs are the responsibility of the customer unless TAGITGPS determines that the product was defective or TAGITGPS otherwise agrees to cover the cost.

Any promotional, discounted, or special-offer terms disclosed at purchase may contain additional return conditions.

7. WARRANTY AND REPLACEMENT

TAGITGPS products are covered only by the warranty or replacement program stated at the time of purchase.

Where a lifetime or continuing replacement warranty is offered, eligibility may require the associated subscription Service to remain continuously active.

Replacement devices may be new, remanufactured, or refurbished unless prohibited by applicable law.

Customers may be responsible for shipping, replacement accessories, deductibles, or other charges disclosed under the applicable warranty or replacement program.

Warranty coverage does not apply to unauthorized modifications, intentional damage, misuse, or use contrary to product instructions.

8. THIRD-PARTY SERVICES

Certain TAGITGPS Services depend upon third-party providers, including cellular carriers, GPS systems, mapping providers, payment processors, hosting providers, application platforms, and internet service providers. TAGITGPS is not responsible for outages, coverage limitations, errors, delays, changes, or failures caused by third-party services outside TAGITGPS's reasonable control.

Cellular and GPS coverage is not available in all locations.

9. SOFTWARE AND APPLICATIONS

TAGITGPS may provide software, firmware, mobile applications, web applications, dashboards, APIs, or other digital services.

TAGITGPS may update, modify, improve, replace, or discontinue portions of its software or Services when reasonably necessary for security, functionality, regulatory compliance, compatibility, or product improvement.

Updates may be required for continued use of certain Services.

10. ACCOUNT SECURITY

The customer is responsible for maintaining the confidentiality of usernames, passwords, verification codes, and other account credentials. Customer is responsible for activity occurring through the Customer's account unless caused by a security failure attributable to TAGITGPS. Customers may not attempt to access another customer's account, location information, device, or data without authorization.

11. PRIVACY AND LOCATION DATA

Use of TAGITGPS Services may involve the collection and processing of information including account information, device identifiers, IP addresses, device status, location information, GPS coordinates, usage information, application activity, and other information necessary to provide and improve the Services.

TAGITGPS may process this information to:

Provide tracking and location Services;
Operate customer accounts;
Display device location and history;
Send alerts and notifications;
Provide technical and customer support;
Process payments;
Prevent fraud or unauthorized access;
Maintain and improve products and Services;
Comply with applicable law; and
Provide communications or marketing where legally permitted.

12. OWNERSHIP AND INTELLECTUAL PROPERTY

TAGITGPS and its licensors retain all right, title, and interest in TAGITGPS products, software, applications, technology, trademarks, branding, documentation, and Services, including all associated intellectual property rights.

Purchasing a TAGITGPS product does not transfer ownership of TAGITGPS software, intellectual property, or proprietary technology to the Customer.

Feedback

If a customer voluntarily provides suggestions, ideas, comments, or other feedback concerning TAGITGPS products or Services, TAGITGPS may use that feedback to improve or develop its products and Services without obligation or compensation to the customer.

13. DISCLAIMER OF WARRANTIES

EXCEPT FOR ANY EXPRESS LIMITED WARRANTY PROVIDED WITH A PRODUCT, TAGITGPS PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TAGITGPS DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TAGITGPS DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT LOCATION INFORMATION WILL ALWAYS BE EXACT, CURRENT, OR AVAILABLE.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer protection law.

14. NOT AN EMERGENCY SERVICE

TAGITGPS is a location and tracking technology service.

TAGITGPS IS NOT A 911 SERVICE, EMERGENCY RESPONSE SERVICE, LAW ENFORCEMENT SERVICE, SECURITY SERVICE, OR GUARANTEE AGAINST LOSS, THEFT, DAMAGE, INJURY, OR OTHER EVENTS.

Customers should contact the appropriate emergency service or law enforcement agency when immediate assistance is required. No tracking technology should be relied upon as the sole method of protecting people, property, vehicles, equipment, or other assets.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAGITGPS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE PURCHASE, INSTALLATION, USE, LOSS OF USE, OR INABILITY TO USE A TAGITGPS PRODUCT OR SERVICE.

THIS INCLUDES DAMAGES ARISING FROM DELAYED, INACCURATE, OR UNAVAILABLE LOCATION INFORMATION; CELLULAR OR GPS FAILURE; THIRD-PARTY NETWORK FAILURE; DEVICE FAILURE; LOSS OR THEFT OF PROPERTY; OR UNAUTHORIZED USE OF A PRODUCT OR ACCOUNT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAGITGPS'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO TAGITGPS FOR THE APPLICABLE PRODUCT OR SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this Section may not apply to every Customer.

16. INDEMNIFICATION

To the extent permitted by applicable law, Customer agrees to indemnify and hold harmless TAGITGPS, its affiliates, officers, employees, agents, and service providers from third-party claims, liabilities, damages, costs, and reasonable attorneys' fees arising from:

Customer's unlawful use of the Services;
Customer's violation of these Terms;
Customer's violation of another person's privacy, property, or other legal rights; or
Customer's installation or use of a tracking device without legally required authorization or consent.

This provision does not require Customer to indemnify TAGITGPS for liability caused solely by TAGITGPS's own unlawful conduct where such indemnification is prohibited by law.

17. TERM AND TERMINATION

The term of Customer's Service is determined by the plan selected at purchase or activation.

Unless otherwise stated, recurring subscription plans automatically renew until canceled.

Customers may request cancellation through the cancellation method provided by TAGITGPS.

Cancellation stops future renewal charges but does not automatically create a right to a refund for amounts already paid, except where required by law or expressly provided under the applicable plan. If a customer purchased a fixed-term service commitment and terminates before the end of that term, any early termination obligation disclosed at the time of purchase may apply.

TAGITGPS may suspend or terminate Services for:

Non-payment;
Fraud or suspected fraudulent activity;
Unlawful use;
Abuse of the Services;
Security threats;
Material violation of these Terms; or
Conduct that may harm TAGITGPS, its networks, its customers, or third parties.

Upon termination, Customer's right to access subscription-based Services will terminate.

18. CHANGES TO THESE TERMS

TAGITGPS may update these Terms from time to time to reflect changes in its Services, business practices, technology, or legal requirements. Material changes will become effective upon notice or publication as required by applicable law.

Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.

19. ASSIGNMENT

Customers may not assign or transfer these Terms or a TAGITGPS account without TAGITGPS's prior written consent.

TAGITGPS may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the applicable business, subject to applicable law.

20. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable federal law controls or applicable consumer law requires otherwise. Any dispute shall be subject to the jurisdiction and venue permitted under applicable law.

21. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

22. WAIVER

Failure by TAGITGPS to enforce any provision of these Terms will not constitute a waiver of that provision or any other right.

23. ENTIRE AGREEMENT

These Terms, together with the applicable order, service-plan terms, warranty terms, Privacy Policy, and any other terms expressly incorporated by reference, constitute the agreement between Customer and TAGITGPS concerning the applicable products and Services.
